Agreement

These terms govern your use of johnnychen.co (the "Site"), operated by 11893874 CANADA INC., operating as JCO ("JCO", "we", "us"). By using the Site you agree to them. If you do not agree, please do not use the Site.

These terms cover the website only. Any services we provide are governed by a separate signed agreement or statement of work, which takes precedence over these terms.

Use of the Site

You may use the Site to learn about JCO and contact us. You agree not to:

• use the Site in violation of any law;
• submit false information, spam or malicious code;
• attempt to gain unauthorized access to the Site or the systems behind it, or interfere with its operation;
• scrape, copy or resell substantial parts of the Site by automated means without our written permission.

Good-faith security research that follows the guidelines on our Security page is welcome.

Intellectual property

The Site and its content, including text, graphics, case studies, logos and code, belong to JCO or its licensors and are protected by law. You may view and share pages for your own internal evaluation of JCO. Any other use requires our written permission. "JCO" and our logo are our trademarks.

Information on the Site

Content on the Site, including case studies, figures, prices and examples, is general information about our work. It is not financial, legal, credit or investment advice and is not an offer. Results described for past engagements depend on each client's circumstances and are not a guarantee of future results. Prices and services shown may change, and an engagement's terms are set only in a signed agreement.

What you send us

Please do not send confidential or regulated data, such as customer financial records or identity documents, through the contact form. If an engagement needs that data, we will arrange a secure transfer under an NDA. Ideas or feedback you send us through the Site are not confidential unless we have agreed otherwise in writing. Our Privacy Policy explains how we handle personal information.

Third-party links and services

The Site links to and uses third-party services, such as Calendly for scheduling and LinkedIn. We are not responsible for their content or practices, and their own terms apply.

Disclaimer

The Site is provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Site will be uninterrupted or error-free.

Limitation of liability

To the extent permitted by law, JCO will not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill, arising from your use of the Site. Our total liability for any claim relating to the Site is limited to [e.g. CAD $100]. Nothing in these terms limits liability that cannot be limited by law, including under the Quebec Civil Code and consumer protection legislation.

Indemnity

You agree to indemnify JCO against claims, losses and costs, including reasonable legal fees, arising from your breach of these terms or your misuse of the Site.

Governing law

These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Any dispute relating to the Site will be brought exclusively before the courts of the judicial district of Montreal, Quebec, and you consent to their jurisdiction. Changes

We may update these terms. The date at the top shows the latest version. Continuing to use the Site after a change means you accept the updated terms.

General

If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These terms are the entire agreement between you and us about the Site. The parties have requested that these terms be drawn up in English.
